Terms & Conditions

These Terms govern the websites, design and build work, hosting, and ongoing care that XLSites provides. Please read them carefully — by purchasing a package or using our services, you agree to them.

1. Who we are

XLSites is a website design, build, and care service operated by Xandland Enterprises, LLC (“XLSites,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Texas, United States. You can reach us any time at tjalex@xandland.com.

2. Acceptance of these Terms

By purchasing a package, completing our onboarding, or otherwise using our services or this website, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. When you purchase a package, you will be asked to affirmatively agree to these Terms and the Privacy Policy at checkout.

If you are entering into these Terms on behalf of a business or other entity, you represent that you have the authority to bind that entity. If you do not agree, please do not purchase or use our services.

3. Definitions

  • “Client,” “you” — the individual or entity purchasing our services.
  • “Package” — a purchase of our website build, together with the Care Plan and any add-ons described at the time of purchase.
  • “The Build” — the one-time design and build of your website.
  • “Care Plan” — the recurring monthly service that hosts and maintains your live website.
  • “Change Request” — a request for work that falls outside the small edits included in the Care Plan.
  • “Client Content” — the text, images, logos, videos, links, and other materials you provide to us.
  • “Deliverable” — the finished website we deliver and make live for you.

4. The services we provide

We design, build, launch, host, and maintain websites on a “done-for-you” basis. A typical engagement includes:

  • The Build — a guided onboarding, followed by the design and development of a custom website, delivered live on the web.
  • A free domain — registration and connection of one standard domain name, as described in Section 7.
  • The Care Plan — ongoing hosting, security, backups, domain renewal, and a reasonable amount of small edits each month.
  • Change Requests — larger changes billed by the hour, only when you request and approve them.
  • Optional add-ons — such as a logo, quoted separately.

The specific scope, pricing, and inclusions of your engagement are those presented to you on our website and confirmed at the time of purchase. We may improve or modify how we deliver the services, provided the core service you paid for is not materially reduced.

5. Onboarding & your responsibilities

Our work depends on the information you give us. You agree to:

  • Complete the onboarding and provide accurate, complete, and timely information and materials;
  • Supply Client Content that you own or are licensed to use, and that is lawful and not misleading;
  • Review drafts and respond to requests for feedback or approval within a reasonable time;
  • Designate a point of contact authorized to make decisions and approvals on your behalf; and
  • Keep your account credentials and contact details current.

If you do not provide required materials or approvals, your project may be delayed. If a project stalls for more than ninety (90) days due to lack of response or materials from you, we may treat it as paused, and additional fees may apply to restart it.

6. Fees & payment

The fees for your engagement are those shown on our website and confirmed at checkout. In general:

  • The Build is a one-time fee, taken in two parts: a non-refundable deposit when you start your onboarding, and the remaining balance when your site is delivered.
  • The Care Plan is billed monthly in advance and renews automatically until cancelled.
  • Change Requests are billed by the hour, with a one-hour minimum, after you approve an estimate.
Card on file — please read By paying the deposit you authorize us to securely store that payment method with our payment processor and to automatically charge the remaining balance of your Build fee (including any add-ons you selected) to that same card when your site is delivered — you will not receive a separate invoice to pay. If you also start a Care Plan, its monthly fee is charged to the same card. You may update your card or cancel the Care Plan at any time by contacting us. If a charge fails, we'll email you a payment link instead.

All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which are your responsibility. Payments are processed by a third-party payment processor; by paying, you also agree to that processor’s terms. If a payment fails or a charge is reversed, we may suspend the services (including hosting) until the balance is resolved. Recurring Care Plan charges continue until you cancel in accordance with Section 15.

Prices may change over time. Any change to your recurring Care Plan price will be communicated in advance and will not apply to a billing period you have already paid for.

7. The free domain

Each Build includes one free standard domain name (for example, a .com), subject to availability and to the registrar’s policies. This means:

  • We register and connect one domain of reasonable value on your behalf as part of the Build. Premium, auction, or already-owned domains are not included, though we can help you connect one you already own.
  • While your Care Plan is active, we keep your domain registered and renewed at no additional charge.
  • The domain is registered for your benefit. Upon your request, and provided your account is in good standing, we will transfer the domain (or the authorization to manage it) to you.
  • If you cancel the Care Plan, responsibility for renewing and paying for the domain passes to you. We will give you a reasonable opportunity to take over or transfer the domain before any lapse; we are not responsible for a domain that expires after you have been notified and declined to take it over.

8. Hosting & the Care Plan

The Care Plan keeps your site online and maintained. It includes hosting on reputable third-party infrastructure, an SSL certificate, routine backups, security updates, domain renewal (Section 7), and a reasonable amount of small edits each month (for example, swapping text, updating hours, or changing a photo).

“Small edits” are minor content changes that take roughly up to 30 minutes of work in total per month and do not include new pages, new features, redesigns, or structural changes — those are Change Requests (Section 9). We may, at our discretion, roll over or decline to accumulate unused edit time.

We aim for high availability but do not guarantee uninterrupted or error-free service; occasional downtime may occur due to maintenance, third-party providers, or events beyond our control. The Care Plan has no long-term contract and may be cancelled as described in Section 15.

9. Change requests

For work beyond the included small edits, the process is simple and always under your control:

  • You submit a Change Request describing what you want and where;
  • We provide an estimate of hours and cost;
  • You approve the estimate; then
  • We complete the work and invoice for the time spent (one-hour minimum).

We will not begin billable Change Request work without your approval. Estimates are good-faith projections; if work turns out to require materially more time, we will pause and confirm with you before continuing.

10. Timelines & approval

We work quickly and will share target timelines (for example, a working site in about a week), but timelines are estimates, not guarantees, and depend on your timely input. A Build is considered accepted when you approve it or when it has been live for fourteen (14) days without your reporting a material issue, whichever comes first. After acceptance, further changes are handled as Change Requests.

11. Intellectual property

Your website

Upon full payment for the Build, you own the final Deliverable as delivered to you — that is, the specific page designs, layout, and arrangement created for your site, together with your Client Content.

What we keep

We retain all rights in the tools, source frameworks, code libraries, reusable components, templates, methods, and know-how we use to build websites, including anything we developed before or independently of your project. Nothing in these Terms transfers ownership of those underlying elements; instead, we grant you a non-exclusive, perpetual license to use them as part of your delivered website. We may reuse our general skills, techniques, and non-client-specific components on other projects.

Third-party materials

Your site may include third-party materials (such as fonts, images, plugins, or embeds) that remain subject to their own licenses. We will use materials that are appropriately licensed for your use; if you supply third-party materials, you are responsible for having the rights to use them.

Portfolio

Unless you ask us in writing not to, you grant us permission to display your completed website, and to reference you as a client, in our portfolio and marketing.

12. Your content & warranties

You represent and warrant that you own or have the necessary rights to all Client Content you provide, and that our use of it as intended will not infringe any third party’s intellectual property, privacy, or other rights, or violate any law. You are solely responsible for the accuracy and legality of your Client Content, including any claims, prices, or representations shown on your site.

13. Acceptable use

You agree not to use our services for any unlawful, infringing, deceptive, or harmful purpose, including content that is defamatory, obscene, hateful, or that facilitates fraud, malware, or the sale of illegal goods or services. We may refuse, suspend, or remove any content or site that, in our reasonable judgment, violates this section or exposes us to legal risk.

14. Third-party services

We rely on third-party providers — such as hosting platforms, a domain registrar, a payment processor, email, and analytics — to deliver the services. Your use of the services may be subject to those providers’ terms, and we are not responsible for their acts, omissions, outages, or changes. We choose reputable providers but do not control them.

15. Cancellation & termination

By you. You may cancel the Care Plan at any time, effective at the end of your current billing period; the Care Plan will not renew after that. Monthly fees already paid are not refundable for the current period. On cancellation, hosting and included maintenance stop, your live site may be taken offline, and responsibility for the domain passes to you (Section 7). On request, we can provide an export of your site files or assist with a handoff, which may be billed as a Change Request.

By us. We may suspend or terminate the services if you materially breach these Terms (including non-payment or prohibited use), or if required by law or a third-party provider. Where practical, we will give you notice and an opportunity to resolve the issue first.

Sections that by their nature should survive termination — including intellectual property, warranties, liability, indemnification, and governing law — will survive.

16. Refunds

The Build fee pays for design and development work. Once we have begun that work, the Build fee is generally non-refundable, because it reflects time and effort already invested. If we have not yet begun your Build, or in other cases at our sole discretion, we may issue a full or partial refund. Recurring Care Plan fees are not refundable for periods already started, but you can cancel future renewals at any time (Section 15).

17. Disclaimer of warranties

Except as expressly stated in these Terms, the services and any Deliverables are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free, or that a website will achieve any particular result, ranking, traffic, or revenue.

18. Limitation of liability

To the maximum extent permitted by law, Xandland Enterprises, LLC and its owners, members, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the services will not exceed the total amount you paid to us for the specific service giving rise to the claim during the three (3) months immediately preceding the event that gave rise to the claim.

19. Indemnification

You agree to defend, indemnify, and hold harmless Xandland Enterprises, LLC and its owners, members, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Client Content, your use of the services, your violation of these Terms, or your violation of any law or third-party right.

20. Confidentiality

Each party may receive non-public information from the other. We will treat your non-public business information as confidential and use it only to provide the services, and you agree to keep confidential any non-public information about our methods, pricing arrangements, or tools. This does not apply to information that is public, independently developed, or required to be disclosed by law.

21. Governing law & disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Before filing any formal claim, the parties agree to first attempt to resolve the dispute informally by contacting each other in good faith.

22. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and post the new version here. Material changes will, where reasonable, be communicated to active Clients. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.
